Terms of service and guarantee terms

Dispenza is a brand of SEOG LLC, a Nevada limited liability company, 6905 W Charleston Blvd #110, Las Vegas, NV 89117 ("Dispenza", "we", "us"). These terms govern the use of dispenza.com and the services we provide to licensed cannabis dispensaries under a signed agreement. Where your signed agreement and this page differ, the signed agreement controls. By using the site or engaging our services you accept these terms.

1. Services and scope

Dispenza provides marketing services for licensed cannabis dispensaries. Services are sold in two plans, MARKETING Pro and Full Suite Enterprise, and the modules in each are listed in full on the pricing page. Depending on the plan, services include local SEO and Google Business Profile management, on-page and content SEO, a menu-connected dispensary website built and hosted on the SGEN platform, conversion-rate optimisation, brand and package design, POS and menu integrations, marketing reports and consulting, and the retention channels: email marketing, SMS marketing and loyalty marketing, delivered on the same platform under one contract.

Web design and development are included with the plans; there is no separate build fee. The scope of work for your account is the module list on the plan plate you sign, plus any additions written into your agreement. Work outside that scope is quoted separately before it starts.

2. Quotes and agreements govern

Pricing is quote-based and per location. No fees are published on this site; the fees for your account are the fees in your written quote and signed agreement, in US dollars. A quote is an offer that expires on the date it states; an agreement forms when both parties sign, or when you accept a quote in writing and we begin work.

Your signed agreement sets the plan, the locations, the covered keyword set, the fees, the billing cadence, the start date and the initial term. Nothing on this website, in a sales conversation or in an email changes a signed agreement unless both parties sign the change.

3. Top 3 ranking guarantee terms

A written top-3 local ranking guarantee is Dispenza's own offer; the keywords, radius and time window are set in your agreement. This section is the standing definition of that guarantee. Where your agreement sets a different keyword list, radius, window or remedy, the agreement controls.

3.1 Eligible locations

The guarantee applies to a location that meets all of the following on the start date and throughout the guarantee window:

• a licensed, open-to-the-public dispensary at a fixed street address in a state with a licensed retail market;
• a verified Google Business Profile for that address, with Dispenza granted manager access for the term;
• a website for the location built and hosted on the SGEN platform and managed by Dispenza, with the location's menu connected;
• an active SEO plan (MARKETING Pro or Full Suite Enterprise) in good standing for that location.

Delivery-only operators, locations whose licence is pending, suspended or under disciplinary action, and locations sharing a Google Business Profile with another business are not eligible unless your agreement says otherwise.

3.2 Covered keywords

The covered set is the keyword list written into your agreement for each location. The default set is "dispensary near me" plus the local-intent phrases we agree per location (for example "dispensary in [city]" and "[city] dispensary"). Product-specific, brand and informational phrases are not covered unless listed.

3.3 Definition of "top 3"

"Top 3" means a position of 1, 2 or 3 in the Google local pack (the map results) for a covered keyword, as read from the measurement grid in 3.4. Where a covered keyword returns no local pack at a grid point, an organic position of 1, 2 or 3 on the first page counts for that point. A position inside a "sponsored" or advertising unit does not count.

3.4 Radius, grid and measurement method

Positions are measured on a geo-grid of points centred on the location's street address, with the radius and point spacing written into your agreement. Each point is read separately, on a mobile device profile, in the location's local market. A covered keyword is "achieved" for a location when the location holds a top-3 position at a majority of the grid points inside the agreed radius on the measurement date. The reading is taken with a third-party local rank-tracking tool named in your agreement and is shared with you in your monthly report; the report is the record for the guarantee.

3.5 Time window and reporting cadence

The guarantee window starts on the date the location's website goes live on SGEN and Dispenza holds manager access to the Google Business Profile, and runs for the number of months written into your agreement. Positions are reported monthly. If the location has not achieved every covered keyword by the end of the window, the guarantee remedy in 3.6 applies.

3.6 Remedy

If a covered keyword has not been achieved by the end of the guarantee window, Dispenza continues the SEO work for that location at no additional fee, beyond the fees in your agreement, until the keyword is achieved. The remedy is continued service; it is the sole remedy under the guarantee, and it does not create a refund, credit or set-off unless your agreement says so. The remedy runs for as long as the location stays eligible under 3.1 and the agreement remains in good standing.

3.7 Exclusions

The guarantee pauses, and the window extends by the length of the pause, while any of the following applies; it ends if the condition is not cured within 30 days of our written notice:

• the location's licence is suspended, revoked, expired or under disciplinary action, or the store is closed to the public;
• the Google Business Profile is suspended, unverified, edited by someone other than Dispenza in a way that changes the name, category, address or service area, or manager access is withdrawn;
• the website is moved off SGEN, edited outside Dispenza's process, taken offline or blocked from indexing, or the menu connection is removed;
• the client changes the location's name, address or trading status without written notice;
• fees are overdue by more than 30 days;
• the client declines an approval that the plan requires (for example a page, a category change or a review response) for more than 30 days.

The guarantee does not cover positions lost to a Google algorithm change, a Google product change that removes or reshapes the local pack, a manual action caused by client-supplied content, or a competitor's paid placement. In those cases the work continues under 3.6 once the covered keyword is measurable again.

3.8 Interpretation

The guarantee is a commitment about local rankings only. It is not a promise of traffic, calls, orders or revenue, and it does not apply to any keyword, location or channel outside the covered set. Every guarantee mention on this website links to this section. Terms apply.

4. Client responsibilities

You agree to:

• give Dispenza the access the plan needs, including manager access to the Google Business Profile, DNS or registrar access for the domain, and menu-provider or POS credentials where an integration is in scope;
• respond to approval requests within the time your agreement sets, and in any case within 30 days;
• keep licence, location, hours and contact information accurate and tell us in writing before any change;
• supply content, images and offers that comply with your state's cannabis advertising rules and each platform's policies, and hold the rights to anything you supply;
• obtain and keep the consents that email and SMS marketing require, and use the opt-out and quiet-hour settings we configure;
• pay fees when due.

You are the licensee; Dispenza is your marketing provider. Responsibility for regulatory compliance of your business, your products and your offers stays with you.

5. Intellectual property

Dispenza, the Dispenza logo and the content of this website belong to SEOG LLC. The SGEN platform, its code, templates, components and tooling belong to SEOG LLC and are licensed to you for the term of your agreement, not sold.

Content we create for you under a paid agreement (page copy, designs, photography we commission, campaign creative) is yours on payment of the fees for the period in which it was created. Your trade marks, menus, product data and the content you supply stay yours; you grant us a licence to use them to deliver the services and, unless you tell us otherwise in writing, to show your site in our showcase and case studies.

If your agreement ends, you may export your content. The site's hosting, platform features and integrations run on SGEN and end with the agreement unless a hosting-only arrangement is signed.

6. Acceptable use

You may not use the site or the services to:

• market cannabis to persons under 21, or under the age your state sets for medical patients;
• make health, therapeutic or medical claims that your state's rules or the platform's policy prohibit;
• send email or SMS to people who have not consented, or after they opt out;
• upload content that infringes a third party's rights, is unlawful, or contains malicious code;
• probe, scrape, overload or interfere with the site or the SGEN platform.

We may suspend a service that is being used in breach of this section after written notice, and immediately where a platform, carrier or regulator requires it.

7. Term and termination

Your agreement runs for the initial term it states and then renews for successive periods of the same length unless either party gives written notice of non-renewal at least 30 days before the renewal date. Either party may terminate for a material breach that is not cured within 30 days of written notice. Fees for the period already served are non-refundable except where your agreement says otherwise. On termination we return your content on request and remove our access to your accounts.

8. Disclaimers

The site and its content are provided "as is" for general information. Nothing on this site is legal advice; the state advertising and platform-policy summaries we publish are operator guides checked on the dates shown and may change. Search engines, ad platforms, carriers and menu providers are third parties whose rules and results we do not control. Except for the guarantee in section 3 and any express commitment in your agreement, we make no warranty about rankings, traffic, revenue or outcomes, and we disclaim implied warranties to the extent the law allows.

9. Limitation of liability

To the extent the law allows, SEOG LLC's total liability to you for any claim arising out of the site or the services, whether in contract, tort or otherwise, is limited to the fees you paid to Dispenza in the six months before the claim arose. We are not liable for indirect, incidental, special or consequential loss, or for lost profits, lost data or business interruption, even if advised of the possibility. Nothing in these terms limits liability that cannot be limited by law.

10. Governing law

These terms and every agreement with Dispenza are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. The state and federal courts sitting in Clark County, Nevada have exclusive jurisdiction, and each party submits to that jurisdiction. Before filing, the parties will try in good faith to resolve a dispute by a meeting between decision-makers within 30 days of written notice.

11. Changes to these terms

We may update these terms. The date at the top is the date of the current version. Changes apply to site use from the date they are posted and to a signed agreement only from its next renewal, unless you agree sooner in writing. Material changes to the guarantee terms in section 3 are sent to active clients by email before they take effect.
